The Nganya Awards ("Awards"), organized and administered by the Nganya Awards Secretariat ("Organizer"), celebrate excellence within Kenya's Public Service Vehicle (PSV) industry.
By engaging in any activity related to the Awards—including but not limited to nominations, voting, sponsorship, exhibition, ticket purchase, or attendance—you, the Participant, agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and the Organizer and apply to all Participants, including nominees, voters, sponsors, exhibitors, vendors, and attendees.
The Organizer reserves the right to amend these Terms at its sole discretion. Updates will be posted on www.nganyaawards.com. Continued participation following such updates constitutes acceptance of the revised Terms.
For the purposes of these Terms:
3.1. General Eligibility: Participation is open to individuals, SACCOs, PSV crews, companies, and organizations actively engaged in Kenya's PSV industry, as determined by the Organizer.
3.2. Accuracy of Information: Participants must provide accurate, complete, and verifiable information during nomination, registration, ticketing, or other processes.
3.3. Verification and Disqualification: The Organizer reserves the right to verify the eligibility and identity of any Participant and to disqualify any entity that provides false, misleading, or incomplete information, or otherwise violates these Terms.
3.4. Compliance with Laws: All Participants must comply with applicable Kenyan laws, including those governing the PSV industry, data protection, intellectual property, and anti-corruption.
4.1. Nomination Process: Nominations are open to the public and must be submitted via www.nganyaawards.com during the designated nomination period.
4.2. Self and Third-Party Nominations: Participants may nominate themselves or others, provided all nomination criteria are met.
4.3. Submission Deadline: Nominations received after the announced deadline will not be considered.
4.4. Final Nominee Selection: The Organizer retains sole discretion to determine the final list of nominees for each award category based on eligibility, merit, and compliance with these Terms.
4.5. No Obligation: Submission of a nomination does not guarantee inclusion on the final nominee list.
5.1. Public Voting: Voting is open to the public via the Platform during the period specified by the Organizer.
5.2. Voting Limits: Each voter may cast one vote per category per voting session, as defined by the Platform's technical constraints.
5.3. Fraud Prevention: The Organizer employs measures to detect and prevent fraudulent voting. Any Participant found engaging in such activities may be disqualified.
5.4. Confidentiality of Results: Voting results shall remain confidential until officially announced at the Awards ceremony.
5.5. Finality of Decisions: The Organizer's decisions regarding voting processes, outcomes, and disputes are final and binding.
6.1. Purchase Platform: Tickets for the Awards ceremony are available exclusively through the authorized third-party platform, Tikiti.
6.2. Third-Party Terms: By purchasing tickets, Participants agree to comply with Tikiti's Terms of Use and Privacy Policy, in addition to these Terms.
6.3. Non-Refundable Tickets: Tickets are non-refundable, except in the event of cancellation by the Organizer, in which case refunds or credits may be issued at the Organizer's discretion.
6.4. Event Modifications: The Organizer reserves the right to modify the Event's venue, date, or schedule, with reasonable notice provided to ticket holders.
6.5. Ticket Usage: Tickets are non-transferable without the Organizer's prior written approval and must be presented for entry.
7.1. Formal Agreements: All sponsors, exhibitors, and vendors must execute formal partnership agreements with the Organizer.
7.2. Allocation of Space: Booth locations and branding placements will be assigned based on sponsorship tier and at the Organizer's discretion.
7.3. Promotional Materials: All promotional materials must be pre-approved by the Organizer.
7.4. Regulatory Compliance: Participants must adhere to all applicable safety, licensing, and public conduct regulations.
7.5. Liability: Sponsors, exhibitors, and vendors participate at their own risk and are responsible for their property and personnel.
8.1. Ownership: All Nganya Awards Intellectual Property is the exclusive property of the Organizer and is protected under Kenyan law.
8.2. Authorized Use: Participants may use official Nganya Awards digital assets (e.g., nominee badges) for promotion, subject to prior written approval.
8.3. Prohibited Use: Unauthorized reproduction or commercial exploitation of the Awards' Intellectual Property is strictly prohibited.
8.4. Third-Party Materials: Participants warrant that any materials they submit do not infringe on third-party rights.
8.5. Publicity Rights: By participating, Participants grant the Organizer a non-exclusive, royalty-free license to use their names, likenesses, and submitted materials for promotional purposes related to the Awards.
9.1. Data Collection: The Organizer collects personal data to facilitate Event operations, communication, and promotion. Data is collected for explicit, legitimate purposes only.
9.2. Data Protection: Data will be processed in compliance with the Nganya Awards Privacy Policy and Kenya's Data Protection Act (2019).
9.3. Third-Party Sharing: Personal data will not be sold but may be shared with operational partners (e.g., Tikiti) or as required by law.
9.4. Participant Consent: By participating, you consent to the collection and use of your data as described. Participants have rights to access, rectify, or erase their data under the law.
10.1. Professional Conduct: All Participants must conduct themselves professionally and respectfully.
10.2. Removal for Misconduct: The Organizer reserves the right to remove any Participant for disruptive or offensive behavior without refund.
10.3. Assumption of Risk: Participants attend and exhibit at their own risk. The Organizer shall not be liable for any loss, injury, or damage, except in cases of proven gross negligence.
10.4. Safety Protocols: Participants must adhere to all safety and health guidelines issued by the Organizer or Kenyan authorities.
11.1. Modifications: The Organizer may postpone, reschedule, modify, or cancel the Event due to unforeseen circumstances.
11.2. Notification: Affected Participants will be notified promptly via the Platform or registered contact details.
11.3. Refunds or Credits: In the event of cancellation, the Organizer may, at its discretion, offer refunds, credits, or alternative arrangements.
12.1. Definition: A "Force Majeure Event" is any circumstance beyond the reasonable control of a party, including acts of God, pandemics, war, terrorism, government actions, or telecommunications failures.
12.2. Non-Liability: Neither party shall be liable for any failure to perform its obligations caused by a Force Majeure Event.
12.3. Notice and Mitigation: The affected party shall notify the other and use reasonable efforts to mitigate the effects.
12.4. Termination Rights: If a Force Majeure Event prevents performance for over 30 days, either party may terminate their obligations upon written notice.
12.5. Application to Event: If the Event is affected, the Organizer may reschedule, modify, or cancel it as outlined in Section 11.
13.1. As-Is Basis: The Platform and Event are provided "as is" without warranties of any kind.
13.2. Technical Issues: The Organizer is not responsible for technical failures beyond its reasonable control.
13.3. Liability Limitation: To the fullest extent permitted by Kenyan law, the Organizer shall not be liable for any indirect, incidental, or consequential damages.
13.4. Maximum Liability: The Organizer's total liability shall not exceed the amount paid by a Participant for Event-related fees.
14.1. Participant Indemnification: Each Participant agrees to indemnify and hold harmless the Organizer from any claims, liabilities, or expenses arising from:
14.2. Scope of Indemnity: This obligation survives the termination of a Participant's involvement.
14.3. Notification and Cooperation: The Organizer will notify the Participant of any claim, and the Participant shall cooperate in the defense.
15.1. Initial Resolution: Disputes must be submitted in writing to info@nganyaawards.com within 14 days.
15.2. Governing Law: These Terms shall be governed by the laws of the Republic of Kenya.
15.3. Jurisdiction: Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
15.4. Good Faith: The Organizer will endeavor to resolve disputes amicably.
16.1. Severability: If any provision is held invalid, the remaining provisions shall remain in effect.
16.2. Entire Agreement: These Terms constitute the entire agreement between the Participant and the Organizer.
16.3. No Waiver: No waiver of any term shall be effective unless in writing.
16.4. Assignment: The Organizer may assign its rights without Participant consent. Participants may not assign their rights without the Organizer's prior written consent.
16.5. Notices: All notices shall be in writing and delivered via email or registered post.
By accessing the Platform, submitting nominations, voting, purchasing tickets, or attending the Event, you acknowledge that you have read, understood, and agree to be bound by these Terms. Failure to comply may result in disqualification or removal.
